01 Definitions
- "FOCO", "we", "us", "our" — FOCO Workshop Ltd, Unit 9, Hooton Works, Hooton Road, Hooton, CH66 7NB.
- "Customer", "you" — the individual or business placing an order.
- "Order" — a confirmed request for cutting, edging, machining or supply services.
- "Cut list" — a specification document detailing panel dimensions, quantities, material codes and any additional operations required.
- "Goods" — cut, edged or machined panels and any materials supplied by FOCO.
- "Services" — the panel cutting, edgebanding, CNC routing and related operations we provide.
02 Orders & quotes
2.1 All quotes are valid for 14 days from the date of issue unless otherwise stated. Prices are subject to change after expiry.
2.2 An order is accepted when we send written confirmation (email or otherwise). Verbal instructions are not binding until confirmed in writing.
2.3 It is the Customer's responsibility to ensure all dimensions, quantities, decor codes and specifications on the cut list are correct before submission. FOCO will process the order as specified. We are not responsible for errors that originate in the Customer's cut list.
2.4 We reserve the right to decline any order without obligation to give reasons.
2.5 Any changes to an accepted order must be requested in writing before production begins. Once cutting or machining has commenced, changes may not be possible and any additional costs incurred will be charged.
2.6 Lead times given at the time of ordering are estimates only and do not constitute a contractual commitment. We will endeavour to meet stated lead times but accept no liability for delays caused by material availability, equipment maintenance or circumstances beyond our reasonable control.
03 Pricing & payment
3.1 All prices are quoted exclusive of VAT unless stated otherwise. VAT will be charged at the applicable rate on the date of invoice.
3.2 Invoices are due for payment within 30 days of the invoice date for approved trade account holders. All other customers must pay in full before Goods are released or dispatched.
3.3 Overdue accounts will accrue interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. We also reserve the right to claim reasonable debt-recovery costs.
3.4 We accept payment by bank transfer (BACS), debit card and major credit cards. We do not accept cash for orders over £100.
3.5 Title to Goods does not pass to the Customer until payment is received in full. We reserve the right to reclaim unpaid Goods.
3.6 Small-order surcharges may apply to orders below our minimum cut value. Current minimum charges are displayed on the website and may be updated without notice.
04 Tolerances & specification
4.1 Panel cutting is subject to the following standard tolerances unless a tighter specification is agreed in writing:

4.2 Dimensions provided by the Customer are treated as finished sizes. Edge banding is applied by machine and does not affect the cut dimensions; no undersize allowance is made.
4.3 Natural variation in board thickness, texture and colour within a single decor is inherent to manufactured panels and is not a defect. We cannot guarantee an exact colour match between batches produced at different times.
4.4 Grain direction will be matched to the longest panel dimension by default. Customers requiring a specific grain orientation must state this clearly on their cut list. FOCO accepts no liability for incorrect grain direction where instructions were not provided.
05 Materials
5.1 Where FOCO supplies the board material, it will be sourced from our standard stock range. All decors and specifications are listed on our website. Availability is subject to change.
5.2 We reserve the right to substitute an equivalent material where a specified decor is temporarily out of stock, subject to Customer approval before production.
5.3 Customers may supply their own board material for cutting or machining. Customer-supplied material is processed entirely at the Customer's risk. FOCO accepts no liability for damage to or wastage of customer-supplied material arising from its normal properties, hidden defects, or incorrect cutting instructions.
5.4 A handling surcharge applies to customer-supplied material. Off-cuts and waste generated during cutting remain with FOCO unless the Customer arranges collection within 5 working days.
06 Delivery & collection
6.1 Goods may be collected from our premises at Unit 9, Hooton Works, CH66 7NB during business hours (Monday–Friday, 08:00–17:00). Please allow time for order preparation before arriving.
6.2 Where delivery is arranged, charges will be quoted and invoiced separately. Risk in Goods passes to the Customer on delivery or collection.
6.3 The Customer must inspect Goods on delivery and report any visible damage or shortage to the driver and to FOCO in writing within 24 hours. Claims made after this period may not be accepted.
6.4 Panels are palletised or wrapped for protection during transit. FOCO is not liable for damage resulting from the Customer's handling, storage or onward transportation after delivery.
6.5 Uncollected orders will be held for 14 days. After this period we reserve the right to charge storage fees or, if Goods have been paid for and remain uncollected after 28 days, to dispose of them and retain payment.
07 Returns, defects & cancellation
7.1 Cut-to-size panels are bespoke Goods manufactured to your specification. As such, they are not eligible for return or refund under the right of withdrawal, except where they are defective or do not match the agreed specification.
7.2 If Goods are defective or do not conform to specification, the Customer must notify FOCO in writing within 5 working days of delivery or collection, providing photographs and details of the defect. FOCO will investigate and, at our discretion, offer a re-cut, credit note or refund.
7.3 Defects arising from the Customer's own cutting instructions (incorrect dimensions, missing grain direction, wrong decor code) are not eligible for redress unless FOCO was negligent in following those instructions.
7.4 Stock materials (uncut full boards) may be returned within 14 days of purchase in original, undamaged condition. A restocking fee of 15% may apply.
7.5 Order cancellations must be made in writing before production begins. Where material has been cut or machining has commenced, the Customer is liable for the cost of work done and any material consumed.
7.6 Consumer customers (individuals not acting in the course of a business) retain statutory rights under the Consumer Rights Act 2015. Nothing in these terms affects those rights.
08 Liability
8.1 FOCO's total liability to the Customer for any claim arising out of or in connection with an order shall not exceed the total invoice value of that order.
8.2 We are not liable for any indirect, consequential or economic loss, including loss of profit, loss of contract, or loss of business opportunity, arising from any defect or delay, even if we were aware of the possibility of such loss.
8.3 Nothing in these terms limits FOCO's liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded by law.
8.4 FOCO is not liable for failure to perform its obligations where such failure results from circumstances beyond our reasonable control, including but not limited to: material shortages, transport disruption, industrial action, fire, flood, pandemic or power failure.
09 Intellectual property
9.1 All content on the FOCO Workshop website, including text, images, designs, code and the cut-list tool, is the intellectual property of FOCO Workshop Ltd and may not be reproduced without written permission.
9.2 The Customer grants FOCO permission to reproduce any designs, drawings or files supplied as part of an order solely for the purpose of completing that order.
9.3 By submitting designs or files, the Customer warrants that they have the right to authorise their reproduction and that doing so does not infringe any third-party rights. The Customer indemnifies FOCO against any claim arising from such infringement.
10 Trade accounts
10.1 Trade accounts are available to verified businesses subject to a credit application. Approved accounts receive 30-day payment terms and access to trade pricing.
10.2 We reserve the right to withdraw or suspend a trade account at any time, including where an account falls overdue or the customer's business circumstances change materially.
10.3 Trade account holders are responsible for all orders placed using their account credentials.
10.4 Volume discounts and bespoke pricing are available for high-volume customers and are governed by a separate written agreement.
11 General
11.1 Entire agreement. These terms, together with any written quote or order confirmation, constitute the entire agreement between FOCO and the Customer in relation to an order. They supersede all prior discussions, representations and agreements.
11.2 Variation. No variation to these terms is effective unless agreed in writing and signed by an authorised representative of FOCO.
11.3 Waiver. Failure by either party to enforce any term does not constitute a waiver of the right to enforce it in future.
11.4 Severability. If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
11.5 Governing law. These terms are governed by the laws of England and Wales. Any dispute that cannot be resolved by negotiation shall be referred to the exclusive jurisdiction of the courts of England and Wales.
11.6 Updates. We may update these terms at any time. The current version is always published on our website. Continued use of our services constitutes acceptance of any updated terms.
